Governing the download, installation, and use of the KavalanProtego application

Nandi Security,Inc. ("Nandi Security," "Nandi," "we,""us," or "our") provides the Kavalan Protego softwareapplication (the "Software" or "Kavalan Protego"). TheseTerms of Service (these "Terms") form a binding legal agreement between you ("you" or "User") and Nandi Security governing your download, installation, and use of Kavalan Protego, including any relateddocumentation, updates, and the reports it generates (collectively, the"Service").
BYDOWNLOADING, INSTALLING, ACCESSING, OR USING KAVALAN PROTEGO, YOU AGREE TO BEBOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT DOWNLOAD, INSTALL, OR USE THESOFTWARE.
These Terms aresupplemental to, and should be read together with, the Kavalan Protego PrivacyPolicy and the general Nandi Security website Terms of Use available atwww.nandisecurity.com/tos, which continues to govern your use of our corporatewebsite. If these Terms conflict with the general website Terms of Use with respect to the Software, these Terms control.You must be atleast 18 years of age, or the age of legal majority in your jurisdiction, to use Kavalan Protego. By using the Software, you represent and warrant that you meet this requirement.
1. The Software; LicenseGrantKavalan Protegois a Windows desktop utility designed to review certain security- and privacy-related settings on the device on which it is installed and to present findings and general informational suggestions to the user through a locally generated report. Subject to your compliance with these Terms, Nandi Security grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use one copy of Kavalan Protego on devicesyou own or control, solely for your own personal or internal business use. Allrights not expressly granted to you are reserved by Nandi Security.
2. Beta and Pre-ReleaseVersionsKavalan Protegomay be distributed, in whole or in part, as a beta, preview, or otherpre-release version identified as such ("Beta Software"). BetaSoftware is made available for testing and evaluation purposes only, maycontain errors, bugs, or other issues, may change substantially before ageneral release, and may be discontinued at any time without notice orliability to you. Sections 8 (Disclaimer of Warranties) and 9 (Limitation ofLiability) apply with particular force to your use of any Beta Software.
3. Nature of the Software;No Professional Advice Kavalan Protegois a scanning and reporting tool only. It is designed to operate on a read-onlybasis and does not, on its own, modify, remediate, delete, or otherwise changeany setting, file, or configuration on your device. Any findings, explanations,scores, or recommendations that Kavalan Protego provides are general andinformational in nature, may be incomplete or inaccurate, and do not constitutesecurity, technical, professional, or legal advice.Kavalan Protegois not antivirus, anti-malware, or endpoint-protection software; it is not asubstitute for such software or for professional information-technology or securityservices, and its use does not guarantee that your device, network, accounts,or data are or will be secure. You are solely responsible for evaluating, andfor deciding whether and how to act on, any information Kavalan Protego provides. Nandi Security strongly encourages you to independently research anysuggested action and, where appropriate, to consult a qualified information-technology or security professional before making any change to your device based on the Software’s output.
4. Acceptable Use You agree that you will not, and will not permit any third party to:(a) use Kavalan Protego on any device that you do not ownor do not have express authorization to scan;(b) reverse engineer, decompile, disassemble, or otherwiseattempt to derive the source code of the Software, except to the extent suchrestriction is prohibited by applicable law;(c) modify, adapt, translate, or create derivative worksbased on the Software;(d) rent, lease, lend, sell, sublicense, distribute, orotherwise transfer the Software or any of your rights under these Terms to anythird party;(e)remove, obscure, or alter any proprietary notices on orin the Software or its output;(f) use the Software for any unlawful purpose, or in any manner that could damage, disable, overburden, or impair Nandi Security’s systems; or (g)use the Software to build a competing product orservice, or publish or disclose any benchmarking or competitive analysis of the Software to a third party, without Nandi Security’s prior written consent.
5. Purchases; Third-PartyPlatforms and Payment Processing Kavalan Protego may be made available for download or purchase directly from Nandi Security or through third-party platforms, including the Microsoft Store. If you obtain Kavalan Protego through a third-party platform, your download, purchase, anduse of the Software may also be subject to that platform’s own terms of use andpurchase terms, which control as to matters within that platform’s domain (such as billing, refunds, and account management) to the extent of any conflict withthese Terms. Where Nandi Security processes payments directly, it does so using third-party paymentprocessors. Nandi Security does not directly collect or store your full paymentcard details. Providing payment or billing information in connection with apurchase is voluntary and undertaken at your own discretion; see the Privacy Policy for more information.
6. Support and Feedback;Voluntary Submission of InformationKavalan Protego includes a mechanism for sending feedback to Nandi Security by email, and youmay otherwise contact Nandi Security’s support team directly. Any personal information that you choose to include in a feedback submission, support request, or other communication with Nandi Security (such as your name, emailaddress, or a description of your device or its configuration) is provided entirely at your own discretion and is never required to use the Software.
YOU ACKNOWLEDGE AND AGREE THAT: (A) SUBMITTING ANY SUCH INFORMATION IS ENTIRELY VOLUNTARY; (B) STANDARD ELECTRONIC MAIL AND SIMILAR COMMUNICATION CHANNELS ARE NOT GUARANTEED TO BE SECURE OR ENCRYPTED; AND (C) YOU ASSUME ALL RISK ASSOCIATED WITH VOLUNTARILY TRANSMITTING PERSONAL OR SENSITIVE INFORMATION TONANDI SECURITY THROUGH THESE CHANNELS.
You shouldavoid including sensitive information (such as passwords, financial accountnumbers, or government identification numbers) in any feedback or supportcommunication. The unique “Check ID” generated locally by Kavalan Protego is designed not to identify you personally, and is intended only to help NandiSecurity correlate a voluntary support request with the device it relates to,without requiring you to disclose your identity.I f you submit ideas, suggestions, or feedback regarding Kavalan Protego ("Feedback"), you grant Nandi Security a perpetual, irrevocable, worldwide, royalty-free,fully paid-up license to use, reproduce, modify, and incorporate that Feedback into Kavalan Protego or any other Nandi Security product or service, withoutany obligation or compensation to you.
7. Intellectual PropertyKavalanProtego, including its software code, user interface, design, trademarks(including the Kavalan and Kavalan Protego names and logos), and all associateddocumentation and report templates, is owned by Nandi Security or its licensorsand is protected by copyright, trademark, and other intellectual property laws.Nothing in these Terms transfers any ownership interest in the Software to you.
8. Disclaimer ofWarrantiesKAVALANPROTEGO IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND,WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, WITHOUT LIMITATION, ANYIMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE,NON-INFRINGEMENT, ACCURACY, OR QUIET ENJOYMENT. NANDI SECURITY DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT ANYFINDING OR RECOMMENDATION IT PROVIDES WILL BE ACCURATE, COMPLETE, OR CURRENT,OR THAT USING THE SOFTWARE WILL DETECT, PREVENT, OR RESOLVE ANY SECURITY ORPRIVACY ISSUE ON YOUR DEVICE. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM NANDI SECURITY OR THROUGH THE SOFTWARE, WILL CREATE ANYWARRANTY NOT EXPRESSLY STATED IN THESE TERMS.Somejurisdictions do not allow the exclusion of certain warranties, so some of theabove exclusions may not apply to you.
9. Limitation of LiabilityTO THEFULLEST EXTENT PERMITTED BY APPLICABLE LAW: (A) IN NO EVENT WILL NANDI SECURITY OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS,SUCCESSORS, OR ASSIGNS (COLLECTIVELY, THE “NANDI PARTIES”) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES,OR FOR ANY LOSS OF DATA, PROFITS, REVENUE, GOODWILL, OR BUSINESS OPPORTUNITY,ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, KAVALAN PROTEGO, OR YOUR RELIANCE ON ANY FINDING OR RECOMMENDATION IT PROVIDES,REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF THE NANDI PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (B) THE NANDI PARTIES’ AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SOFTWARE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (I) THE AMOUNT YOU PAID NANDI SECURITY FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVINGRISE TO THE CLAIM, OR (II) FIFTY U.S. DOLLARS (US$50). THESE LIMITATIONS APPLYEVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.You agree that,as limited liability entities, the Nandi Parties have a legitimate interest inlimiting the personal liability of their officers, directors, employees, andcontractors, and you agree that you will not bring any claim personally againstany officer, director, employee, agent, or contractor of Nandi Security inconnection with the Software or these Terms. The disclaimers and limitations inthis Section 9 and Section 8 are intended to apply for the benefit of, and tobe enforceable by, each of the Nandi Parties.Nothing inthese Terms excludes or limits any liability that cannot lawfully be excludedor limited, including liability for death or personal injury caused by a NandiParty’s negligence, or for fraud or fraudulent misrepresentation.
10. Indemnification You agree toindemnify, defend, and hold harmless the Nandi Parties from and against any andall claims, liabilities, damages, losses, costs, and expenses (includingreasonable attorneys’ fees) arising out of or relating to: (a) your use ormisuse of Kavalan Protego; (b) your violation of these Terms; (c) any actionyou take, or fail to take, based on any finding or recommendation generated bythe Software; or (d) your violation of any applicable law or the rights of anythird party.
11. Termination These Termsremain in effect until terminated. Nandi Security may suspend or terminate yourlicense to use Kavalan Protego at any time, with or without cause or notice,including if Nandi Security reasonably believes you have violated these Terms.You may stop using and delete the Software at any time. Sections 6 through 16of these Terms survive any termination.
12. Changes to theSoftware and these Terms Nandi Securitymay modify, update, suspend, or discontinue Kavalan Protego, or any feature ofit, at any time, with or without notice. Nandi Security may revise these Termsfrom time to time; the revised Terms will apply from the date they are posted,and your continued use of the Software after that date constitutes your acceptanceof the revised Terms. If you do not agree to the revised Terms, you must stopusing the Software.
13. Dispute Resolution;Arbitration; Governing LawPlease readthis section carefully. It affects your legal rights.(a) Governing Law. These Terms are governed by the laws ofthe State of Delaware and the United States of America, without regard toconflict-of-laws principles.(b) Binding Arbitration. Except for claims that may bebrought in small-claims court, you and Nandi Security agree that any dispute, claim,or controversy arising out of or relating to these Terms or the Software willbe resolved by binding, individual arbitration, rather than in court, exceptthat either party may seek injunctive or other equitable relief in a court ofcompetent jurisdiction to prevent the actual or threatened infringement ormisuse of intellectual property rights.(c) Class Action and Jury Trial Waiver. You and NandiSecurity each waive any right to a jury trial and agree that any proceedingwill be conducted only on an individual basis and not as a class, consolidated,or representative action.(d) Venue for Non-Arbitrable Claims. To the extent anydispute is not subject to arbitration under this Section, you and NandiSecurity agree to the exclusive jurisdiction of the state and federal courtslocated in Delaware.(e) Severability of This Section. If any part of thisSection 13 is found unenforceable, the remainder will continue to apply, except that if the class-action waiver is found unenforceable, the entire arbitrationagreement in this Section will be null and void.
14. Export ComplianceYou represent that you are not located in, and will not use Kavalan Protego in, any countryor region subject to a U.S. government embargo, and that you are not on anyU.S. government list of prohibited or restricted parties.
15. General(a) Entire Agreement. These Terms, together with the Privacy Policy referenced herein, constitute the entire agreement between you and NandiSecurity regarding Kavalan Protego and supersede all prior agreements regardingthe Software.(b) Severability. If any provision of these Terms is foundunenforceable, the remaining provisions will remain in full force and effect,and the unenforceable provision will be modified to the minimum extentnecessary to make it enforceable.(c) No Waiver. Nandi Security’s failure to enforce anyprovision of these Terms is not a waiver of its right to do so later.(d) Assignment. Nandi Security may assign or transfer theseTerms, in whole or in part, without restriction. You may not assign or transferthese Terms without Nandi Security’s prior written consent.(e) Relationship of the Parties. Nothing in these Termscreates any partnership, joint venture, agency, or employment relationship between you and Nandi Security.
